Stonevale Design & Construction does not offer refunds for any services rendered or monies paid. All payments — whether made in response to a retainer agreement, invoice, or other billing arrangement — are deemed fully earned by Stonevale Design & Construction upon receipt. By engaging our Services and submitting payment, you acknowledge and agree that no refunds, credits, or chargebacks will be issued under any circumstances, including but not limited to cancellation, dissatisfaction, or changes in project scope.

SECTION 7 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any engagement or service request at our sole discretion. In the event that we make a change to or cancel a service agreement, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the engagement was initiated.
You agree to provide current, complete and accurate billing and account information for all engagements with us. You agree to promptly update your account and other information, including your email address, so that we can complete transactions and contact you as needed.

SECTION 8 - OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

SECTION 22 - INTELLECTUAL PROPERTY

All designs, renderings, drawings, concept boards, project photography, written content, and other creative work produced by Stonevale Design & Construction — whether displayed on this website or delivered as part of a client engagement — remain the exclusive intellectual property of Stonevale Design & Construction unless explicitly transferred in writing. Viewing or accessing this content does not grant any license, right, or permission to reproduce, distribute, or use it in any form. Unauthorized use of our work may constitute copyright infringement and will be pursued accordingly.

SECTION 23 - NO CLIENT RELATIONSHIP ESTABLISHED BY SITE USE

Visiting this website, submitting an inquiry, or engaging in preliminary communications with Stonevale Design & Construction does not create a contractor-client relationship, establish any duty of care, or obligate either party to proceed with a project. No such relationship exists until both parties have executed a formal written agreement outlining the scope, terms, and compensation for a specific engagement.

SECTION 24 - PROJECT PHOTOGRAPHY AND PORTFOLIO USE

Stonevale Design & Construction reserves the right to photograph completed and in-progress work for use in our portfolio, website, and marketing materials. By engaging our services, clients consent to this use unless a written objection is provided prior to the start of the project. We will make reasonable efforts to exclude identifying personal information from any publicly shared imagery. If a client wishes to restrict the use of project photography, this must be agreed upon in writing as part of the project contract.

SECTION 25 - MANDATORY ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms of Service, the use of this website, or any services provided by Stonevale Design & Construction — including any question regarding its existence, validity, breach, or termination — shall be resolved exclusively through binding arbitration. Both parties expressly waive their right to pursue any such dispute in a court of law or before a jury.

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, as amended from time to time. The arbitration shall be conducted by a single arbitrator, in English, and the decision of the arbitrator shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction. **Either party may arrange translation or interpretation services during arbitration at their own expense. Regardless, all official proceedings, filings, and awards shall be conducted in English, which shall control in the event of any conflict with a translated version.** 

Each party shall bear its own costs in connection with arbitration unless the arbitrator determines otherwise. Nothing in this section shall prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm pending the outcome of arbitration.

SECTION 26 - LIMITATION OF LIABILITY TO CONTRACT VALUE

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF STONEVALE DESIGN & CONSTRUCTION TO ANY PARTY FOR ANY CLAIM, LOSS, OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH ANY SERVICE, PROJECT, OR ENGAGEMENT — WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THAT PARTY TO STONEVALE DESIGN & CONSTRUCTION UNDER THE SPECIFIC CONTRACT TO WHICH THE CLAIM RELATES.

This limitation applies regardless of the form of action and even if Stonevale Design & Construction has been advised of the possibility of such damages. It reflects a reasonable allocation of risk between the parties and is a fundamental element of the basis on which services are offered. If you do not agree with this limitation, you should not engage our services.
